Terms and Conditions

1. Ownership and purpose

The site metrix.com.mx (hereinafter, "the Site") is owned by Front Media, S.A. de C.V. (hereinafter, "Front Media"), with its address at Paseo de los Laureles 398, Bosques de las Lomas, Mexico City.

These terms govern access to and use of the Site, whose purpose is informational and the commercial promotion of the Metrix platform. Accessing the Site confers the status of user and implies full acceptance of these terms. If you do not agree with them, please refrain from using it.

2. The Site is not the platform

Two things must be distinguished:

• The Site, publicly accessible and informational in nature, governed by this document.
• The Metrix platform, access to which is restricted to clients and whose use is governed by the corresponding services agreement and not by these terms.

Nothing contained in the Site grants any right of access to or use of the platform.

3. Illustrative nature of the information

The Site includes descriptions of functionality, screenshots, dashboards, maps, photographs and figures that are provided for demonstration purposes only. In particular:

• The campaign figures shown in the dashboard —number of stores, installations, issues and metro areas— correspond to a sample campaign and do not reflect any client's real data.
• The images of point-of-sale material are illustrative.
• The descriptions of functionality do not constitute a binding technical specification.

The content of the Site does not constitute a binding offer within the meaning of article 1804 of the Federal Civil Code, nor does it oblige Front Media to enter into a contract. Specific commercial conditions are established solely in the proposal and the agreement that may be signed.

4. Permitted use

You undertake to use the Site in accordance with the law, these terms and good faith. The following are prohibited, by way of example and without limitation:

• Using automated means that degrade the operation of the Site or attempt to circumvent its security measures.
• Introducing or spreading malicious code.
• Reproducing, distributing or transforming the contents for commercial purposes without prior written authorization.
• Impersonating Front Media or its clients.

5. Intellectual and industrial property

The Metrix trademark, the logo, the texts, the design, the navigation structure, the images and the source code of the Site are owned by Front Media or covered by the licenses necessary for their use, and are protected by the Federal Law for the Protection of Industrial Property and the Federal Copyright Law.

Access to the Site confers no license or right whatsoever over those elements. Only viewing and reproduction for personal and private use are permitted.

Third-party trademarks that may appear are the property of their respective owners and are used without any intention of association or sponsorship.

6. Availability

Front Media endeavors to keep the Site running, but does not guarantee uninterrupted availability. It may suspend access, without prior notice, for reasons of maintenance, security or causes beyond its control, without incurring any liability.

Front Media reserves the right to modify, at any time and without prior notice, the presentation, configuration and contents of the Site.

7. Limitation of liability

The Site is provided as is. Front Media is not liable for damages or losses arising from:

• Decisions taken on the basis of the information contained in the Site, given its illustrative nature.
• Interruptions, failures or errors in access.
• The presence of viruses or other harmful elements introduced by third parties.
• Improper use of the Site by users.

8. Links to third-party sites

The Site may contain links to external pages. Front Media does not control their contents and assumes no responsibility for them. The inclusion of a link implies neither a recommendation nor a commercial relationship.

9. Contact requests

When submitting a request for a demonstration or for information, you declare that the data provided is truthful and that you have authority to represent the organization you may indicate. The processing of that data is governed by the Privacy Notice.

Submitting a request creates no obligation whatsoever for Front Media to provide services or to respond within any particular period.

10. Protection of personal data

The processing of personal data carried out through the Site is governed by the Privacy Notice, which forms an integral part of these terms.

11. Amendments

Front Media may amend these terms at any time. The version in force will always be the one published at metrix.com.mx/terminos.html, stating the date it was last updated. Use of the Site after an amendment implies acceptance of it.

12. Governing law and jurisdiction

These terms are governed by the federal law of the United Mexican States. For their interpretation and performance, the parties expressly submit to the jurisdiction of the competent courts of Mexico City, waiving any other venue that might correspond to them by reason of their present or future domicile.
